1. Introduction
Welcome to Zigma Software (“Company”, “we”, “our”, or “us”).
Client/Customer/User – The User/Customer/Client will be the user of website/software/mobile applications/cloud server subjected to this terms and conditions and be referred to use “You”, “Your”, “Yours”, or as an “User.”
Vendors/Suppliers – We (ZIGMA) also associated with so many 3rd Party Branded Vendors to provide Best n Products and Services be referred as “Vendors”, “Suppliers”
These Terms & Conditions (“Terms”) govern the use of all software products, web applications, mobile applications, cloud servers, communication software tools and services provided by Zigma Software, including support systems, APIs, and integrations with third-party platforms. By accessing or using any Zigma Software product or service, you agree to comply with these Terms. If you do not agree, please do not use our Services.
Zigma Software provides business application solutions including its own Integrated Accounting Software, Fully Customized Products and other branded software solutions such as BUSY, Tally, Saral Accounts, Tez ERP, InvoiceNet with integrated solutions for Accounts, GST Billing, Inventory, Taxation, Business Analytics, Payroll, and HRMS tools including GreytHR and Saral PayPack — catering to Entrepreneurs, Traders, Manufacturing Units, Service Sectors, and Professionals.
2. Digital Communications (SMS & WhatsApp Services) and
Mobile Application (Services)
Zigma Software provides digital communication-related services such as Bulk SMS, WhatsApp messaging, and API integrations. These services may be used for legitimate transactional purposes including OTP verifications, sales confirmations, billing receipts, order updates, and ledger sharing in PDF or message format.
Such communications may be initiated either directly by Zigma Software or through third-party vendor platforms. Message delivery is subject to telecom operator availability, platform reliability, and external network conditions. Zigma Software shall not be liable for delays, duplication, or delivery failures caused by third-party providers. Users are responsible for lawful use and compliance with applicable TRAI/DLT and data protection regulations.
3. API Usage
If you use Zigma Software’s APIs for SMS, WhatsApp, or system integration, you agree to use them responsibly and within technical and legal frameworks. Unauthorized or abusive use of APIs may lead to suspension or termination of service. API features may be modified or discontinued without prior notice.
4. Support and Ticket Management System
Our support and ticket management systems are designed to improve communication and service delivery.
Users must provide accurate details and use the platform solely for service-related requests.
Misuse or unauthorized access may result in suspension or termination of access.
5. Software Provided ‘As-Is’
All software, applications, and tools from Zigma Software are provided on an “as-is” and “as available” basis.
While we aim to maintain reliability and performance, no warranty is provided—explicit or implied—regarding fitness for purpose, uninterrupted use, or compatibility. Any requests beyond the defined project scope will be treated as separate paid enhancements. Zigma Software shall not be liable for damages or losses resulting from misuse, miss-configuration, or post-deployment modifications.
All data, information, reports, graphs, communication, and messages generated from the PRODUCTS/SERVICES are provided on a best-effort basis. While we endeavor to keep the information accurate, we make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability, or availability for any purpose. Any reliance you place on such information is therefore strictly at your own risk.
In no event will we be liable for any loss or damage including without limitation, indirect or consequential loss or damage, or any loss or damage whatsoever arising from loss of data or profits, arising out of, or in connection with, the use of our PRODUCTS/SERVICES.
Every effort is made to keep the PRODUCTS/SERVICES up and running smoothly. However, we take no responsibility for, and will not be liable for, the PRODUCTS/SERVICES being temporarily unavailable due to technical issues beyond our control.
6. Third-Party Software and Integrations
Certain software modules, communication tools, or mobile applications may be provided by third-party vendors. Zigma Software facilitates integration but does not own or control these external services. Such components are subject to their respective vendor’s Terms and Privacy Policies.
Zigma Software shall not be responsible for any data handling, performance, or service interruptions caused by third-party systems.
7. Eligibility
You must be at least 18 years old and capable of entering into legally binding contracts under Indian law to use our Services.
8. Scope of Services
We offer: Custom software development, system study, integration, and support of branded software. Our services may include on-site or remote consultations, collection of client data, and preparation of requirement specifications before commencing development or implementation.
9. System Study and Client Data
Before development, we conduct a detailed system study to understand client business flow. Clients may share documents and reference materials, which are used only for project analysis and treated as confidential.
10. Account Registration
Certain features may require account registration. Clients must provide accurate details and are responsible for maintaining confidentiality of login credentials.
11. Intellectual Property
All proprietary software and materials remain the property of Zigma Software or respective licensors. Unauthorized use, duplication, or redistribution is prohibited.
12. Use Restrictions
Clients agree not to misuse our services, distribute spam, reverse-engineer software, or engage in unlawful activity.
13. Third-Party Products & Integration
We distribute third-party products such as BUSY, Tally, Saral, InvoiceNet, GreytHR and Tez ERP etc., We are not responsible for third-party content or policy changes.
14. Pricing, Payment & Billing
At present, online payments are not collected through our website. Payments are handled offline. Future online payments will be governed by updated terms.
15. Confidentiality
All client data, documents, and business information shared are treated as confidential. Clients must also treat Zigma Software materials as confidential.
16. Limitation of Liability
Under no circumstances shall Zigma Software be liable for indirect, incidental, or consequential damages, including data loss or business interruption arising from use or inability to use the services. The client acknowledges that the use of Zigma Software products and services is at their own risk.
17. Indemnification
Clients agree to indemnify and hold harmless Zigma Software from claims arising out of misuse or breach of these Terms.
18. Termination
Either party may terminate with notice. Zigma Software may suspend access for breach or misuse.
19. Data Protection, Backup, and Disclaimer for Data Loss
Zigma Software is not responsible for any data loss or corruption due to virus infection, power issues, hardware failure, network problems, or other factors beyond control. Clients are responsible for maintaining regular data backups.
20. Data Ownership and Export for SaaS / Cloud-Based Applications
Clients may export their data in Excel, CSV, XML, or vendor-supported formats. Data export and retention policies follow respective vendor terms. Zigma Software is not liable for vendor-side issues.
21. Licensing, Subscription, and Commercial Terms
License duration, pricing, and support vary by product. Terms are specified in quotations or invoices, which override general website statements.
22. Referral or Non-Partner Software Sales / Recommendations
Zigma Software may recommend or assist in purchasing third-party software for which it is not a partner. Billing occurs directly between client and vendor. Zigma Software provides no warranty or liability for such products.
23. Governing Law & Jurisdiction
These Terms are governed by the laws of India with exclusive jurisdiction of the courts in Erode, Tamil Nadu.
24. Modifications
We may update these Terms periodically. Continued use of services implies acceptance.
